01 · Services
dbappsystems.com ("we," "us," "our") provides custom application solutions, database integration, cloud storage infrastructure, messaging integration, smart contract development, and API services to clients ("you," "Client"). All services are performed in accordance with the best standards and practices of the software development industry and in full compliance with all applicable federal and state laws and regulations.
02 · Project Agreements
Each engagement is governed by a separate written agreement, statement of work, or proposal defining scope, deliverables, timeline, and compensation. These Terms serve as a general framework and do not supersede any individual project agreement.
03 · Intellectual Property
Upon receipt of full and final payment, all custom-developed deliverables specified in the applicable project agreement become the property of the Client. dbappsystems.com retains ownership of all pre-existing tools, frameworks, libraries, templates, contract widgets, and methodologies used during development. Open-source components remain subject to their respective licenses.
04 · Confidentiality
We treat all client project information, business logic, data, and technical specifications as strictly confidential. We will not disclose client information to any third party without prior written consent, except as required by law.
05 · Smart Contracts & Blockchain
Smart contracts are delivered as software for integration and review. Blockchain transactions are irreversible by design. Client is solely responsible for key custody, network fees, deployment decisions, and any regulatory obligations arising from their use of on-chain systems. Payment for on-chain items is accepted in cryptocurrency only. Nothing provided by dbappsystems.com constitutes financial, investment, tax, or legal advice, and no contract widget is offered as a security or investment product.
06 · Limitation of Liability
dbappsystems.com shall not be liable for indirect, incidental, consequential, or punitive damages arising from any engagement. Our total liability for any claim shall not exceed the fees paid for the specific services giving rise to that claim. We are not liable for failures, outages, or changes caused by third-party platforms or public blockchain networks outside our direct control.
07 · Third-Party Services
We integrate third-party platforms including but not limited to Cloudflare, GitHub, Twilio, Zoho, Stripe, and public blockchain networks. We make no warranties regarding third-party services and are not responsible for changes, outages, or pricing adjustments made by those providers.
08 · Warranty
All software is delivered in a professional and workmanlike manner using industry-standard best practices. Beyond this, software is delivered "as-is" without warranties of merchantability or fitness for a particular purpose, unless otherwise agreed in writing.
09 · Contact Form Data
Information submitted via our contact form is used solely for the purpose of responding to your inquiry. We do not sell, rent, or distribute your contact information to any third party for any reason.
10 · Governing Law
These Terms are governed by the laws of the United States. Any dispute shall first be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration before a mutually agreed arbitrator.
11 · Changes
We reserve the right to update these Terms at any time. Continued engagement with our services following any update constitutes acceptance of the revised Terms.
